Terms of Service
Last updated: September 28, 2026
Prudent Sagacity LLC · Master Terms + Schedule A (The Rig Report)
These Master Terms of Service (the “Master Terms”) govern your purchase and use of the products and services offered by Prudent Sagacity LLC, a North Carolina limited liability company (“we”, “us”, “our”), together with the Schedule that applies to the particular product you are buying or using (each, a “Service”). The Master Terms and the applicable Schedule together form the “Terms” and are a binding agreement between you and us.
PLEASE READ SECTION 13 CAREFULLY. It requires most disputes to be resolved by individual binding arbitration and contains a class action waiver and a jury trial waiver. Section 10 disclaims warranties and Section 11 limits our liability. You may opt out of arbitration within 30 days.
By purchasing a Service, submitting content to us, creating an account, or otherwise using a Service, you agree to these Terms. Our Privacy Policy explains how we handle your personal data. It is a notice and is not part of this agreement. If you do not agree, do not purchase or use the Service.

Part I — Master Terms
1. Eligibility and acceptance
You represent and warrant that you are at least eighteen (18) years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into a binding contract. If you use a Service on behalf of a business, band, church, school or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.
You accept these Terms when you tick the acceptance box, or use an equivalent mechanism, presented before you pay, when you create an account, or when you submit content to us. We keep a record of that acceptance. If you complete a purchase, create an account or submit content without having been presented with that mechanism, you accept these Terms by doing so.
2. How this agreement is organised
These Master Terms apply to every Service. Each Service also has a Schedule setting out what that Service is, what it costs, how it is delivered, and any terms specific to it. The Schedules in force are listed in Part II and are incorporated into these Terms by reference.
Order of precedence. If a Schedule conflicts with the Master Terms, the Schedule governs, but only for the Service it covers and only to the extent of the conflict. The Master Terms otherwise remain in full force.
Adding Services. We may add a Schedule for a new Service at any time. A new Schedule affects only that Service and does not alter your agreement in respect of a Service you have already purchased.
3. Communications and electronic delivery
You agree to receive all deliverables, notices and related communications by email, and that electronic delivery satisfies any requirement that a communication be in writing. It is your responsibility to supply a working email address and to check spam filtering.
4. Fees, payment and taxes
Each Service is offered at the price stated at the time of purchase, as set out in its Schedule. We may change pricing at any time; the price shown at checkout governs your purchase.
Payment processors. Payment is processed by the third-party processor identified at checkout, and by any processor it uses. Charges appear as Prudent Sagacity. We do not receive or store your full card number, CVV or bank credentials. Your use of the checkout is additionally subject to the processor’s own terms and privacy policy.
Taxes. Prices exclude any sales, use, VAT, GST or similar taxes, which are your responsibility where applicable.
Conditions to performance. Where a Schedule requires you to supply content or information in addition to payment, we are not obliged to perform until both payment and usable materials are received, and we may hold a submission until we can match it to a payment.
5. Refunds and chargebacks
Refund rights are specific to each Service and are set out in its Schedule. Except as stated in the applicable Schedule, in Section 15, or where a refund is required by applicable consumer law, all fees are non-refundable once the Service has been delivered.
Chargebacks. If you dispute a charge with your bank or card issuer after a Service has been delivered, you agree that evidence of delivery is evidence of performance. We may suspend or decline future service to anyone who initiates a chargeback for a delivered Service without first contacting us.
Statutory rights. Nothing in these Terms limits any non-waivable right of withdrawal, cancellation or refund you have under the consumer law of your jurisdiction.
6. Your Content — rights, warranties and licence to us
“Your Content” means any file, document, image, text or other material you submit to us or upload to a Service.
You represent and warrant, for all of Your Content, that:
you own it, or you hold all rights, licences, consents and permissions necessary to submit it to us and to have us process it as described in these Terms;
submitting it does not and will not breach any licence, end-user agreement, terms of sale, confidentiality obligation, or any third party’s intellectual property, contractual or other rights;
you did not obtain it, and are not submitting it, in a manner that circumvents, disables or bypasses any digital rights management, encryption or other technological protection measure; and
it contains no malware and no personal data of any other person.
Licence to us. You grant Prudent Sagacity LLC a limited, non-exclusive, worldwide, royalty-free licence to receive, store, transmit, copy, analyse and create modified versions of Your Content solely for the purpose of providing the Service to you and, where applicable, resolving a dispute or complying with law. This licence terminates when we delete Your Content under our Privacy Policy. We claim no ownership of Your Content and we do not publish, sell, share or redistribute it.
Keep your own copies. You are responsible for retaining your own backup of everything you send us. We delete submissions on the schedule set out in the Privacy Policy and cannot be your archive.
7. Intellectual property
Yours. You retain all rights you had in Your Content. Nothing here transfers ownership of it to us.
Ours. We retain all right, title and interest in each Service and everything underlying it, including our websites, applications, diagnostic and analytical rule sets, methodologies, report and document formats, layouts, classification schemes, written text and explanations, and all software, graphics and trademarks (the “Prudent Sagacity Materials”). No rights are granted except as expressly stated.
Your licence to the deliverable. On payment, we grant you a perpetual, non-exclusive, non-transferable licence to use, keep and print the deliverable we provide for your own personal or internal business purposes, subject to any narrower or additional terms in the applicable Schedule. You may not resell, syndicate or publish it at scale; use it, or the Prudent Sagacity Materials, to build, train, market or operate a competing product or service; or use them to create a derivative offering.
Artificial intelligence and text/data mining. You may not use any deliverable or the Prudent Sagacity Materials to train, fine-tune, or ground any machine learning or generative artificial intelligence system, nor extract them by automated means for that purpose. We expressly reserve all rights under Article 4(3) of Directive (EU) 2019/790 and any equivalent text-and-data-mining reservation.
Feedback. If you tell us something is wrong, unhelpful or could be better, you grant us a perpetual, irrevocable, royalty-free right to use that feedback to improve our Services, without obligation or attribution to you.
8. Acceptable use
You agree not to:
submit content you lack the right to submit, or that was obtained by circumventing a technological protection measure;
use a Service to evaluate, reverse-engineer or benchmark a competing product, or to extract our rule sets, methodology or content;
resell or provide a Service to third parties as your own, or submit content on behalf of others without their authorisation;
upload malware, attempt to gain unauthorised access to our sites or systems, probe or scan our infrastructure, or interfere with its operation;
use automated means to submit, scrape or overload a Service;
misrepresent your identity, your payment, or the origin of your content; or
use a Service in violation of any applicable law, export control or sanctions regime, or from a jurisdiction subject to comprehensive U.S. sanctions.
9. Third-party services, marks and non-affiliation
Our Services depend on third-party providers for hosting, email delivery, payment processing, analytics and distribution. We are not responsible for their acts or omissions, and your use of them may be subject to their own terms.
All third-party product, company and brand names referenced in or by a Service are the trademarks of their respective owners. Prudent Sagacity LLC is not affiliated with, endorsed by, sponsored by, or in any way officially connected with any such third party unless expressly stated. Such marks are used only for identification and descriptive purposes — nominative fair use. Product-specific trademark notices appear in the applicable Schedule.
10. Disclaimer of warranties
EACH SERVICE, EACH WEBSITE AND APPLICATION, AND EVERY DELIVERABLE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRUDENT SAGACITY LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT ANY OUTPUT, FINDING, STATEMENT OR FILE IS CORRECT, COMPLETE, OR APPLICABLE TO YOUR CIRCUMSTANCES; THAT ACTING ON IT WILL PRODUCE ANY PARTICULAR RESULT; THAT ANY FILE WE SUPPLY WILL LOAD, FUNCTION OR PERFORM AS INTENDED ON YOUR EQUIPMENT; THAT ALL DEFECTS WILL BE DETECTED; OR THAT ANY SITE OR APPLICATION WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.
Some jurisdictions do not allow the exclusion of certain warranties, so parts of this Section may not apply to you. Nothing in these Terms excludes or limits any right you have under applicable consumer protection law that cannot lawfully be excluded or limited, or any liability for fraud, fraudulent misrepresentation, death or personal injury caused by our negligence.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER YOU NOR PRUDENT SAGACITY LLC (INCLUDING ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS AND AGENTS) SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, REPUTATION, DATA, FILES, RECORDINGS, OPPORTUNITY OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THESE TERMS OR ANY SERVICE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, AND EVEN IF THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS PARAGRAPH DOES NOT LIMIT YOUR OBLIGATIONS UNDER SECTION 12 OR YOUR LIABILITY FOR MISUSE OF THE PRUDENT SAGACITY MATERIALS IN BREACH OF SECTION 7 OR 8.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR ANY SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU ACTUALLY PAID US FOR THE TRANSACTION GIVING RISE TO THE CLAIM (OR, FOR A SUBSCRIPTION, THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE), OR (B) ONE HUNDRED U.S. DOLLARS (US$100.00).
WITHOUT LIMITING THE FOREGOING, WE ARE NOT LIABLE FOR ANY DAMAGE TO, MISCONFIGURATION OF, OR LOSS OF DATA ON ANY DEVICE ARISING FROM YOUR USE OF ANY FILE WE SUPPLY, NOR FOR ANY FAILED, IMPAIRED OR CANCELLED PERFORMANCE, SESSION, RECORDING, PROJECT OR ENGAGEMENT.
These limitations apply even if a limited remedy fails of its essential purpose, and form an essential basis of the bargain between us; the Services would not be offered at these prices without them. Nothing in this Section limits our liability for gross negligence, wilful misconduct or fraud, or any liability that cannot be limited under applicable law. Some jurisdictions do not allow certain limitations, so parts of this Section may not apply to you.
12. Indemnification
You agree to indemnify, defend and hold harmless Prudent Sagacity LLC and its members, managers, officers, employees, contractors and agents from and against any third-party claim, demand or action, and any resulting liability, damage, loss, cost or expense (including reasonable attorneys’ fees) to the extent arising out of: (a) Your Content, including any allegation that submitting or processing it infringed or misappropriated a third party’s rights or breached a licence or agreement; or (b) your use of a Service in breach of Section 8 or in violation of law. We will tell you promptly about any such claim. We may control its defence and settlement, and you agree to cooperate. This Section does not apply to the extent a claim results from our own negligence or misconduct, or where applicable consumer law does not allow it.
13. Disputes, arbitration and governing law
Informal resolution first. Before starting arbitration or any proceeding, the party raising the dispute agrees to contact the other (you at support@prudentsagacity.com, we at the email address used for your purchase) with a written description of the dispute and the relief sought, and to allow sixty (60) days to resolve it. This step is a condition precedent to commencing arbitration. Any limitation period or filing deadline is paused during those sixty (60) days.
Governing law. These Terms and any dispute arising out of or relating to them or any Service are governed by the laws of the State of North Carolina, without regard to its conflict of law principles. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
MANDATORY INDIVIDUAL ARBITRATION. EXCEPT AS PROVIDED BELOW, ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR ANY SERVICE — INCLUDING ANY QUESTION AS TO THEIR EXISTENCE, VALIDITY, SCOPE OR TERMINATION — SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) UNDER ITS CONSUMER ARBITRATION RULES, RATHER THAN IN COURT. A COURT, NOT THE ARBITRATOR, DECIDES WHETHER THE CLASS ACTION WAIVER BELOW IS ENFORCEABLE.
The arbitration shall be seated in Wake County, North Carolina, or, at your election, conducted by telephone, videoconference or on documents only. Filing, administration and arbitrator fees are governed by the AAA rules. The AAA’s supplementary rules for mass arbitrations apply where their criteria are met. The arbitrator may award the same individual relief a court could, and the award may be entered as a judgment in any court of competent jurisdiction.
CLASS ACTION AND JURY WAIVER. YOU AND PRUDENT SAGACITY LLC EACH AGREE THAT PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION, AND THAT THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING. TO THE EXTENT PERMITTED BY APPLICABLE LAW, IF A CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.
Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of intellectual property rights.
Your right to opt out. You may reject this arbitration agreement by emailing support@prudentsagacity.com with the subject line “Arbitration Opt-Out”, together with your name and the email address used for your purchase, within thirty (30) days of your first purchase from us. Opting out affects no other part of these Terms and will not affect your use of any Service.
Severability of this Section. If any part of this Section is held invalid or unenforceable, the remainder stays in force; but if the class action waiver is held unenforceable as to any claim, the mandatory arbitration provision is void as to that claim only, which shall proceed in court.
Venue for non-arbitrable matters. For any matter not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in Wake County, North Carolina.
Consumers outside the United States. If you are a consumer resident in the European Economic Area, the United Kingdom or Switzerland, nothing in these Terms deprives you of the mandatory protections of the law of your country of residence, and you may bring a claim in the courts of that country. The arbitration agreement and the class action waiver in this Section do not apply to you.
14. Copyright complaints
We respect intellectual property rights. If you believe material submitted to us, or published by us, infringes your copyright, send a notice to our designated agent (below) with: an identification of the work; an identification of the material complained of and enough detail for us to locate it; your contact details; a statement that you have a good-faith belief the use is not authorised by the rights holder, its agent, or the law; a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorised to act on their behalf; and your physical or electronic signature. We will investigate promptly, will remove or delete infringing material, and may terminate service to anyone who repeatedly infringes.
Designated agent. Our agent for notices of claimed infringement under the Digital Millennium Copyright Act, registered with the U.S. Copyright Office (DMCA-1081367), is:
Jeremy Doyle, Prudent Sagacity LLC
514 E Dixie Dr #2003, Asheboro, NC 27203, United States

15. Suspension, refusal and discontinuation
We may decline, suspend or discontinue service to anyone, at our discretion, including where we cannot match a payment, where a submission appears to breach Section 6 or 8, where materials are unreadable or corrupt, or where the volume or nature of a request is outside what the Service reasonably covers. If we decline after payment and have not delivered, we will refund the fee in full, and that refund is your sole and exclusive remedy.
We may modify or discontinue any Service, in whole or in part, at any time. Sections that by their nature should survive termination — including Sections 6 through 14 and 17 — survive.
16. Changes to these Terms
We may revise these Terms from time to time. The “last updated” date above will change, and the revised Terms take effect when posted. The version in force at the time of your purchase governs that purchase; changes are not applied retroactively to a transaction already paid for. A change to Section 13 does not apply to a dispute that arose before the change took effect. For any Service with a recurring subscription, we will give at least thirty (30) days’ notice by email before a material change takes effect, and you may cancel before it does. Your continued use of a Service or a subsequent purchase constitutes acceptance of the revised Terms.
17. General provisions
Entire agreement. These Master Terms and the applicable Schedule are the entire agreement between you and Prudent Sagacity LLC regarding the Service and supersede all prior or contemporaneous understandings. Marketing statements are subject to these Terms; where they conflict, these Terms govern.
Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed, and the remaining provisions continue in full force.
No waiver. Our failure to enforce any provision is not a waiver of it.
Time limit for claims. To the fullest extent permitted by law, any claim by either party arising out of or relating to a Service must be filed within one (1) year after it arises, or it is permanently barred. This does not apply where the law of your place of residence does not allow a shorter period.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them, in whole or in part, to an affiliate or in connection with a merger, acquisition or sale of assets.
Force majeure. We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including acts of God, natural disaster, pandemic, war, terrorism, civil unrest, government action, labour dispute, power or internet outage, or the failure or degradation of a third-party service we depend on.
Independent contractors. Nothing here creates a partnership, joint venture, employment or agency relationship.
No third-party beneficiaries. These Terms confer no rights on anyone other than you and us.
Headings. Headings are for convenience only and do not affect interpretation.
Export and sanctions. You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list.

Part II — Service Schedules
The Schedules below are incorporated into the Master Terms. Each applies only to the Service it names.
Schedule A (The Rig Report) is the Schedule currently in force.
Schedule A — The Rig Report
Service: The Rig Report, at rigreport.prudentsagacity.com. In force since: 8 September 2026.
A1. What the Service is
For a one-time fee, we perform an automated and human-reviewed inspection of the Line 6 Helix-family preset files you submit and deliver:
a report identifying conditions in those files that we classify as Fault, Warning, Review or Info, with an explanation and a suggested value for each; and
corrected preset files in which we have applied only those changes that, in our judgment, have a single correct answer irrespective of your instrument, amplifier or taste, delivered together with your original files unmodified and a written list of every change made.
We analyse exported parameter data only — the numeric and structural contents of preset files. We do not listen to your rig, receive any audio, or evaluate how anything actually sounds. Every conclusion we reach is an inference drawn from stored settings and from acoustic and signal-processing principles.
A2. What the Service is not
The Service is provided for informational and diagnostic purposes only. It is an opinion about the contents of files. It is not:
a warranty, certification or guarantee that any preset will sound good, perform reliably, load correctly, or be fit for any performance, recording, broadcast or other purpose;
musical, artistic or professional advice, and no fiduciary, advisory or professional relationship is created;
a service supplied by, endorsed by, or affiliated with Line 6, Yamaha Guitar Group, or any preset vendor (see A8); or
a substitute for testing your own equipment before relying on it.
Taste is yours. Findings classified as Review or Warning frequently describe deliberate artistic choices. You remain the sole judge of your own tone, and you are solely responsible for deciding whether to act on anything we report.
A3. Price and payment
The Service is offered at a flat fee stated on the Site at the time of purchase (currently US$39) per submission. Payment is processed by Bluevine and any payment processor it uses. Payment does not by itself begin the Service: you must also submit your files through the Site or by email.
A4. Turnaround
We aim to deliver within 48 hours of receiving both payment and usable files. This is a target, not a guaranteed deadline, and time is not of the essence. Delivery may take longer because of volume, file problems, the need to clarify your submission, third-party outages, or the human review step we apply to every report.
If we have not delivered within fourteen (14) days of receiving both payment and usable files, you may request a full refund, and that refund is your sole and exclusive remedy for late or non-delivery.
A5. The no-findings refund
If, on completing our inspection, we determine that your submission contains no finding worth acting on, we will tell you so plainly and refund your fee in full. That determination is made by us, acting reasonably and in good faith, on the basis of the findings our inspection produces.
For clarity, this is not a satisfaction guarantee, a trial, or a right to cancel after delivery. Disagreeing with a finding, deciding not to act on the report, or preferring the sound of your presets as they were are not grounds for a refund. Refunds are issued by the original payment method and typically settle within 5–10 business days.
A6. Your preset files — additional terms
Section 6 of the Master Terms applies in full. In addition:
DRM-protected files. Encrypted commercial preset files cannot be read by us or by anyone else without the vendor’s key. They are reported as skipped. Skipped files are not a defect in the Service and do not entitle you to a refund or partial refund. Do not attempt to decrypt them for us.
Preset licences. Preset files are frequently sold under licences that restrict copying and sharing. Your warranty under Master Terms Section 6 extends specifically to any such licence.
A7. Corrected preset files
Back up your device before loading anything we send you. Corrected files are supplied as a convenience alongside your untouched originals. Test them yourself, on your own equipment, before any performance, recording, broadcast or other use that matters.
Corrected files are generated by applying a defined set of changes to copies of your presets. We take care, and we ship your originals unmodified in the same delivery, but we do not warrant that a corrected file will load, behave, or sound as intended on your device, firmware version or setup, nor that it is free of error.
Preset files interact with device state we cannot see — impulse response slot assignments, firmware revisions, global settings and hardware configuration among them. A file that is structurally correct may still behave unexpectedly on your unit. You are solely responsible for verifying any file before you rely on it, and for maintaining backups sufficient to restore your device.
You may use corrected files for your own musical purposes without restriction. You may not redistribute them in a manner that would breach the licence governing the underlying original preset.
A8. Third-party trademarks
Line 6, Helix, HX, POD and related marks are trademarks of Yamaha Guitar Group, Inc. and/or its affiliates. All other product, amplifier, cabinet, speaker, microphone and preset-pack names are the trademarks of their respective owners. Prudent Sagacity LLC is not affiliated with, endorsed by, sponsored by, or in any way officially connected with Line 6, Yamaha Guitar Group, or any preset vendor, artist or manufacturer.
